1. Agreement
These Terms & Conditions (“Terms”) govern the provision of website development, maintenance, and related services (“Services”) by WPWork (or “we”, “us”). By accepting a quote, making a payment, or otherwise engaging our Services, you (“Client”, “you”) agree to these Terms. Any project-specific agreement or quote may supplement these Terms.
2. Services
We provide WordPress website maintenance, custom website building, static site development, and e-commerce (e.g. WooCommerce) solutions. The exact scope of work, deliverables, and timelines will be set out in a written quote or contract before work begins. We will perform the Services with reasonable skill and care.
- WordPress Maintenance: updates, backups, security monitoring, and performance checks.
- Build Website: custom WordPress or static sites from scratch.
- Static Sites: fast, secure static information sites.
- E-Commerce: WooCommerce setup, configuration, and store maintenance.
3. Payment
Payment terms will be as stated in your quote or invoice. Unless otherwise agreed:
- Project-based work may require a deposit or milestone payments as specified in the quote.
- Ongoing maintenance is typically billed monthly or annually as agreed.
- Prices are in the currency stated (e.g. USD) and are subject to any applicable taxes unless otherwise indicated.
- Late payment may result in suspension of Services until payment is received.
4. Client Responsibilities
You agree to:
- Provide content, access (e.g. hosting, admin), and feedback in a timely manner so we can deliver the Services.
- Keep backups of your site and data where appropriate; we are not responsible for loss of data due to factors outside our control.
- Ensure that any content or materials you provide do not infringe third-party rights or violate any law.
5. Intellectual Property & Ownership
Upon full payment for the relevant work, you will own the custom deliverables (e.g. custom code, design) created specifically for your project, unless otherwise agreed in writing. We retain rights to our own tools, frameworks, and pre-existing work. Third-party software (e.g. WordPress, themes, plugins) remains subject to their respective licences.
6. Confidentiality
We will keep confidential any non-public information you provide in connection with the Services and will not disclose it to third parties except as necessary to perform the Services or as required by law.
7. Liability & Limitation
We carry out work with reasonable skill and care. To the fullest extent permitted by law:
- We are not liable for indirect, consequential, or incidental loss (e.g. loss of profits, data, or business).
- Our total liability for any claim arising from or related to the Services shall not exceed the amount you have paid us for the relevant Services in the twelve (12) months preceding the claim.
- We are not responsible for issues caused by third-party software, hosting, or actions taken by you or others on your site.
8. Termination & Cancellation
Either party may terminate ongoing Services (e.g. maintenance) by giving reasonable written notice as agreed in the service plan. For project-based work, cancellation may be subject to payment for work completed up to the date of cancellation. We may suspend or terminate Services if payment is overdue or if you breach these Terms.
9. Changes to Terms
We may update these Terms from time to time. The current version will be posted on this page. Continued use of our Services after changes constitutes acceptance of the updated Terms. For existing contracts, the terms in effect at the time of agreement apply unless we agree otherwise in writing.
